Mills in the House of commons entitled an act for facilitating the colonization of Dominion lands by the formation of railway compan ies and aiding the construction of railways traversing such sets out with the preamble that it is expedient to provide facilities for colonizing and settling the Public lands owned by the Dominion that the construction of railways will afford the Best Means for the purpose and it is Desir Able to facilitate the incorporation of companies with such View and to afford Aid to dollars per mile after which the company s claims to any further Aid from the Sale of such lands shall cease provided always that not More than ninety per cent of the value of the actual work done shall be paid out of the proceeds of any land sales until the Road is finished and equipped and in operation to the satisfaction of Tho Govor nor in Council provided also that 110 agree ment made by the government with any company or any order in Council promising Aid under this sub Section or the preceding Section shall be valid or binding until it shall have lain before the House of com Mons for one month without being Dis approved unless sooner approved by a Resolution of Tho j another sub Section of this Section gives Power to the governor in Council to appoint an Engineer to report on the work before wholesale dealers such works by Grants or through sales As hereinafter provided of Dominion lands which May be enhanced in value thereby.1 the first clause enacts that the provisions of the measure shall apply exclusively to the construction and operation of railways in Manitoba and the territories of the Dominion. The second clause provides for the incorporation of companies to consist of not less than Twenty five persons Tor the purpose of constructing and operating the railways contemplated by the Bill with Power to make the usual articles of association stating the places to and from which Tho Road is to be constructed the length of the Road Tho number of shares of which the Stock is to consist the amount of Capi Tal which must be not less than twelve thousand dollars for every mile of Road to to built and the names and places of Resi Dence of the directors who Are in each Case to be nine in number. When a certain percentage of the Stock not yet fixed has been subscribed it is enacted that the articles of the association shall be filed in the department of the minister of the Interior at Ottawa provision being made that Tho percentage in question is to be paid to the receiver general subject to be drawn upon the order of the directors for the pay ment of engineering and other work actually done upon the railway certified to by the government for that purpose. The provi Sions As to Bona fide subscription of Stock election of directors the Usu Al nature and it is optional with the govern ment to demand to be represented on the Board of directors while the Road is under construction by one director appointed by Tho governor in Council. This director need not necessarily be a stockholder and whenever the Road is finished and equipped the right of Tho government to be so represented is to cease. Power is Given to the directors to make regulations As to payment of subscriptions and it is declared that neglect to pay an instalment required by Resolution of the Board May cause the for torture of a stockholder s shares after due notice has been served upon him in the usual Way. The 13th clause provides that the Stock of companies formed under the act shall be deemed personal estate but no shares shall be transferable until All pre Vious Calls thereon shall have been fully paid in and it shall not be lawful for any such company to use any of its funds in the Purchase of any Stock in its own or in any other corporation and the making of any such Purchase by any officers or Mem Ber of the company shall be a Mise an increase in the capital Stock of a company requires the concurrence of two thirds in amount of the stockholders and also the approval of the governor in Council and the government must Lay the order approving or disapproving As Tho Case May be. The liability of the shareholders is confined to the amount of their Stock and provision is made for the recovery of wages due to labor ers by a simple and inexpensive process. In Case of a railway Over one Hundred and less than three Hundred Miles Long where one half the length has been completed within five years or one Quarter its length within a similar time in the Case of a rail Way Over three Hundred Miles Long the company Are to retain their Powers Over the completed portion but Are debarred from preventing the formation of a new company to Complete the the companies however being permitted to amalgamate. Sec Tion 30 gives Tho minister of the Interior Power subject to any vested rights to cause the lands bounding Tho Lino of a railway constructed under the act to be Laid out in a tier of lots 80 acres each with a ten Chain frontage on the railway and a Road upon the outer Point and he May make the homesteads of persons found on the land at the time of the Survey to conform to this Rule a proviso being added that no person proving his right to a Homestead on one of those narrow lots shall to entitled to Pur Chase More than one other lot adjoining.
