In the course of a statement said in part i take this As an emphatic repudiation by the shareholders of the attempt to wind up tha Dominion steel corporation the most important unit in the corporation an instruction to the management to continue to protect your interests Tay opposing that i refrain from recrimination or any comment on the statements solicitation of proxies to vote against the scheme nor will i criticize the action of the National Trust company in publicly declaring their intention to vote the shares owned by the do minion Iron steel company which your directors consider to be in the custody of the court subject to its direction. When All is said done the Only thing that matters is the saving of the industries in which you Are so largely interested the Protection of the shareholders investment in them. The directors feel that rehabilitation of the industries might be effected with less trouble More pro fit to those who would undertake it through liquidation winding up but it would certainly wipe out a much greater part of the capital particularly the share capital involved in them. I earnestly Appeal to the National Trust company to abandon their of i forts to Force the Dominion steel corporation into National Trust replies the National company issued the following statement this afternoon in reply to the statement read by president Wolvin at the meeting the scheme of capital readjust ment has been decisively Defeated the announcement that the affairs of the Dominion steel corporation has been taken under the Protection of the court followed almost immediately upon the Reading by or. Wolvin of his statement to the shareholders at this morning s meeting. We feel that the thoughts of All concerned in this situation should now turn to the future. There has never been any fight for control on the part of natio nil Trust company. We have always held the View that the Situa Tion should not he in the control of any group but should to under the control of the court of Nova Scotia. We merely represent one interest in a big situation namely the interest of the bondholders of the Dominion Iron steel company Ltd. As representing that interest we Are not Only willing but anxious to co operate with All other interests concerned in the Endeavor to bring about by Mutual agreement under the supervision of the court its officer the liquidator a a ounce fair c ills Holm s judgment the text of judge Chisholm s Deci Sion granting the application of the National troist company for the liquidation of the Dominion steel Corpora Tion is. The common Stock is held by British Empire steel Corpora Tion. Limited. The corporation in guarantor of the consolidated mortgage Bonds of the Dominion Iron steel co., limited a number of smaller companies. I have reached the conclusion that the primary object of the corporation is expressed in paragraph p of the memorandum of association namely to acquire take Over amalgamate the undertakings of the two companies therein mentioned. It is expressly stated that with a View there to the corporation might acquire the shares assume the debts liabilities of the said companies. The acquisition of these shares was not an end in itself but was with a View to take Over amalgamate the undertakings of the two companies which were then emerging from the turmoil of a Long drawn out Law suit Over the contract for the Supply of Coal subsisting Between them. The express words of the Ziern trandum viewed in relation to the Circum stances in which it was made Lead to the conclusion that Tho main aim was so to unify the companies As to har Monize their operations to remove the danger which existed when either of the companies might adopt a policy hostile to the other inflict serious injury upon it. It was urged that corporation was carried on. Sines 1909 without any any amalgamation or merging of the two principal controlled companies. That is True but other projects have now intervened. It cannot be successfully disputed that a reorganization of these companies has been for some time in tended that efforts have been made to evolve a plan of reorganization. It was urged that the management of the affairs of the corporation should not be taken out of the hands of the majority of the shareholders that if the corporation had to be reorganized the task of reorganization should be left to such shareholders. Yielding to that View i have deferred the determination of some Seri Ous questions of economic Public policy which lie outside Tho scope of the application before me. But i think it 5 an be fairly said that it directly challenges the primary purpose which finds expression in the memorandum of association. For the reasons which i mentioned i have formed the opinion that it is just equitable that the corporation should be wound up As prayed for in the bar Silver associated truss despatch now York july 12.
